End-User License Agreement

Please read this agreement carefully before downloading ,installing or using this driver  software.
 
This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity)and the mentioned author（Hanvon Ugee Technology.Co.,Ltd.or its affiliated party, hereinafter referred to as “Hanvon Ugee”) of this software, for a use of the software and any associated materials and “online” or electronic documentation(the “SOFTWARE”). THE RIGHT TO USE THE SOFTWARE IS GRANTED ONLY UPON THE CONDITION THAT YOU AGREE TO THE TERMS AND CONDITIONS OF THIS EULA. BY DOWNLOADING ,INSTALLING ,OR OTHERWISE USING THE SOFTWARE,YOU AGREE TO BE BOUNDED BY THE TERMS OF THIS EULA.IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA,PLEASE DO NOT INSTALL OR USE THE SOFTWARE.

1.License
This EULA grants you a non-exclusive, revocable, non-transferable, limited license to download, install and use the SOFTWARE after purchasing a Hanvon Ugee product from Hanvon Ugee or its subsidiaries and affiliates ,or through its authorized sales channels, you shall strictly abide by the terms of this EULA. 
2.Restrictions
Except for the limited license expressly granted in the "License" section of this EULA, you have no other rights to this SOFTWARE . More restrictions on your use of this SOFTWARE are as follows. You must not:
A. copy or use the SOFTWARE for any purpose other than as permitted under the above section  "License".
B. modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the SOFTWARE.
C. remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of the author or its affiliates, partners of the SOFTWARE.

3.Copyright
All title and copyrights in and to the SOFTWARE (including but not limited to any images,video,
 text and "applets" incorporated into the SOFTWARE),the accompanying materials ,and any copies of the SOFTWARE are owned by Hanvon Ugee.

4.Modifications and Updates to the SOFTWARE
（1）Hanvon Ugee reserves the right to modify, temporarily or permanently, the SOFTWARE, with or without notice and without liability to you.
（2）Hanvon Ugee may from time to time provide enhancements or improvements to the features/functionality of the SOFTWARE, which may include patches, bug fixes, updates, upgrades and other modifications ("Updates").
（3）You further agree that all Updates will be (i) deemed to constitute an integral part of the SOFTWARE, and (ii) subject to the terms and conditions of this EULA.

5.Privacy Policy
The SOFTWARE will not collect and store your personal information while being used .when you install and use the SOFTWARE ，the SOFTWARE will only automatically read certain information about your computer or device, including technical information about your computer such as type of device, operating system or platform (Mac, Windows, Linux etc. including version and language),your system’s preferences and settings (time zone, language, etc.). 
The information the SOFTWARE get and read will be used only for the following purposes: verify your eligibility for using the SOFTWARE; to update and improve it; diagnose technical problems and fix them。

6.Warranty Disclaimer
The SOFTWARE IS PROVIDED TO YOU "AS IS"AND "AS AVAILABLE" AND WITH ALL FAULT AND DEFECTS WITHOUT WARRANTY OF ANY KIND.TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW , Hanvon Ugee, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATED PARTIES EXPRESSLY DISACLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE,INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY ,FITNESS FOR A PARTICULAR PURPOSE,TITLE AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING,COURSE OF PERFORMANCE,USAGE OR TRADE PRACTICE .WITHOUT LIMITATION TO THE FORGING, Hanvon Ugee PROVIDES NO WARRANTY OR UNDERTAKING ,AND MAKES NO REPRESENTATION OF ANY KIND THAT THE SOFTWARE WILL BE COMPATIBLE OR WORK
WITH ANY OTHER SOFTWARE, APPLICATIONS,SYSTEMS OR SERVICES,OPERATE WITHOUT INTERRUPTION,BE ERROR FREE OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.

7.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW,IN NO EVENT SHALL Hanvon Ugee OR ITS AFFILIATED PARTIES BE LIABLE FOR ANY SPECIAL,INCIDENTAL,INDIRECT ,OR CONSEQUENTIAL DAMAGES WHATSOVER,INCLUDING ,BUT NOT LIMITED TO ,DAMAGES FOR LOSS OF PROFITS,FOR LOSS OF DATA OR OTHER INFORMATIN,FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY ,FOR LOSS OF PRIVACY ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE,OR OTHERWISE IN CONNECTION WITH ANY PROVISONS OF THIS EULA,EVEN IF Hanvon Ugee HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES .IN NO CASE WILL Hanvon Ugee AND  ITS  SUPPLIERS’ TOTAL  LIABILITY  EXCEED 50 USD.

8.Termination.
Without prejudice to any other rights, the Author of this SOFTWARE may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE  and all of its component parts.

9.Dispute Resolution and Laws Governing
This Agreement and all matters arising out of or relating to this Agreement will be governed by the internal laws of the People’s Republic of China without giving effect to any choice of law rule.
This Agreement will not be governed by the United Nations Convention on Contracts for the International Sales of Goods, the application of which is expressly excluded. Any controversy, claim, or dispute arising out of or relating to this Agreement or the SOFTWARE, shall be exclusively be submitted to Shenzhen Court of International Arbitration for arbitration, which shall be conducted in accordance with the Court's arbitration rules in effect at the time of applying for arbitration.
